We are pleased to be supporting our client in the expansion of their corporate legal team with the addition of an experienced Corporate & Commercial Lawyer.
Responsibilities:

Draft, review, and advise on internal company contracts, NDAs, service agreements, and supplier/client engagements.

Draft, review, and vet client-related contracts, including shareholder agreements, financing agreements, corporate and commercial contracts, and other legal documents.

Ensure all legal documentation is compliant with applicable laws and best practices.

Assist in structuring, restructuring, and corporate governance projects for clients and internal group entities.

Provide strategic legal guidance to clients and company leadership.

Identify legal risks in business operations and propose effective solutions.

Monitor and interpret legislative and regulatory developments in Malta and other relevant jurisdictions through legal research and tracking.

Summarise key legal developments and provide briefings and alerts to internal teams and clients.

Develop internal legal guidance, summaries, and compliance checklists.

Support the implementation of new legal and regulatory frameworks, particularly in corporate law, tax, and AML compliance.

Provide legal analysis and risk assessments for company formations, mergers, and cross-border transactions.

Liaise with external legal advisors on complex legal issues, litigation matters, and jurisdiction-specific requirements.

Ensure the legal accuracy and completeness of templates, policies, procedures, and filings.

Assist in preparing and reviewing regulatory submissions, legal correspondence, and liaising with relevant authorities.

Contribute to ongoing improvement of legal, corporate, and regulatory processes.

Provide general legal support to management and internal departments.

Handle various legal matters related to both the company's and clients’ operations.
Requirements:

Master’s degree in Law (LL.M. or equivalent) from the University of Malta.

Warranted in Malta.

Minimum of 8 years’ experience in corporate and civil law.

Knowledge of the gaming or technology sectors is considered an asset.

Strong expertise in contract law, corporate governance, and regulatory compliance.
-
Familiarity with data protection laws and intellectual property rights.
